Terms of Service
Please read these terms carefully before using our services. By engaging with STV Corp, you agree to be bound by these terms.

1. Acceptance of Terms
By accessing or using STV Corp's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services. We reserve the right to refuse service to anyone for any reason at any time.
2. Our Services
STV Corp provides professional software development services, including but not limited to:
- Custom web application development
- REST API design and development
- Mobile application development (iOS and Android)
- Software architecture consulting and code review
The specific scope of work for each project will be defined in a separate Statement of Work (SOW) or project agreement.
3. User Obligations
When engaging with our services, you agree to:
- Provide accurate and complete information
- Use our services only for lawful purposes
- Respect our intellectual property rights
- Not attempt to compromise the security of our systems
4. Intellectual Property Rights
Our Intellectual Property
Unless otherwise specified in a project agreement, all code, designs, and materials created by STV Corp remain our intellectual property until full payment is received. Upon full payment, ownership of custom deliverables transfers to the client as specified in the project agreement.
Client Intellectual Property
We respect your intellectual property rights. Any materials, content, or information you provide remains your property. We will not use your proprietary information for any purpose other than delivering the agreed services.
5. Payment Terms
Payment terms will be specified in each project agreement. General terms include:
- Invoices will be issued according to agreed milestones or payment schedule
- Payment is due within 14 days of invoice date unless otherwise agreed
- Late payments may incur interest charges and suspension of services
- All prices are exclusive of applicable taxes unless stated otherwise
6. Project Scope and Changes
The scope of work for each project will be clearly defined in a Statement of Work or project agreement. Any changes to the agreed scope may result in adjustments to timeline and cost. Change requests must be submitted in writing and will be evaluated for feasibility and impact before implementation.
7. Warranties and Disclaimers
Our Warranties
We warrant that the services will be performed with professional skill and care, and that custom deliverables will conform to the agreed specifications. We will correct any defects or non-conformities within the warranty period specified in the project agreement.
Disclaimer
EXCEPT AS EXPRESSLY PROVIDED IN THE PROJECT AGREEMENT, OUR SERVICES ARE PROVIDED 'AS IS' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STV CORP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE CLIENT FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
9. Confidentiality
We will treat all client information as confidential and will not disclose it to third parties without consent, except as required by law or as necessary to deliver the agreed services. This obligation survives the termination of our agreement.
10. Termination
Either party may terminate a project agreement under the following conditions:
- Material breach of terms by the other party, with 30 days' notice to cure
- By mutual written agreement
- Upon termination, client remains responsible for payment of all work completed to date
11. Indemnification
You agree to indemnify and hold STV Corp harmless from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.
12. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of Bulgaria, without regard to its conflict of law provisions. The exclusive jurisdiction for any disputes shall be the courts of Sofia, Bulgaria.
13. Dispute Resolution
In the event of any dispute arising from these terms, the parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation fails, the dispute may be submitted to mediation before resorting to litigation.
14. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.
15. Severability
If any provision of these Terms of Service is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
